Please read these terms carefully before registering or using the Paywish platform. By accessing our services, you agree to be bound by these terms.

1. Acceptance of Terms

By registering for an account, purchasing a business plan, or accessing any services provided by Paywish (a brand of Zetu Solutions (OPC) Private Limited), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, together with our Privacy Policy and Refund Policy.

If you do not agree with any part of these terms, you must not use our platform or services.

2. Definitions

  • "Company," "We," "Us," "Our" refers to Zetu Solutions (OPC) Private Limited, registered at Habra, West Bengal, India - 743263. CIN: U7499WB2017OPC220149.
  • "Platform" refers to the Paywish website, mobile application, admin panel, and all associated digital services.
  • "User," "You," "Your" refers to any individual or entity that registers for a Paywish business plan and uses the platform.
  • "Retailer" refers to any user registered under any of the available business plans (Retailer, Pro Retailer, CSP Retailer, CSP Distributor, Whitelabel).
  • "Services" refers to mobile recharge, DTH recharge, bill payments, AEPS, money transfer, PanCard services, travel booking, and all other services offered through the platform.
  • "Wallet" refers to the digital wallet maintained by the user on the platform for conducting transactions.

3. Eligibility

To use Paywish services, you must:

  • Be at least 18 years of age
  • Be a resident of India
  • Have a valid mobile number and email address
  • Possess a valid PAN card (for KYC and tax compliance)
  • Have a valid Aadhaar card (required for AEPS services)
  • Have a bank account in your name for wallet top-ups and payouts
  • Be legally capable of entering into a binding contract under Indian law

4. Registration & Account

4.1 Account Creation

  • Registration requires selecting a business plan and completing payment through our authorized payment gateway (SabPaisa).
  • After payment, you must send your Payment ID to our WhatsApp number (+91-7980421214) between 11AM-5PM (Mon-Sat) for account activation.
  • Account activation is subject to successful KYC verification and payment confirmation.

4.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your account credentials (login ID, password, MPIN).
  • All transactions made through your account are deemed to be authorized by you.
  • You must immediately notify us of any unauthorized access or suspected security breach.
  • We reserve the right to suspend or terminate accounts involved in suspicious activities.

4.3 KYC Requirements

  • Complete Know Your Customer (KYC) verification is mandatory before accessing certain services (AEPS, money transfer, PanCard).
  • You must provide accurate and up-to-date KYC documents as requested.
  • Submission of forged or falsified documents will result in immediate account termination and may attract legal action.

5. Plans & Services

  • Plan Pricing: All plan prices are as displayed on the website at the time of registration. Prices are subject to change without prior notice. GST is excluded from displayed prices unless explicitly stated.
  • Service Availability: Services and features included in each plan are as described on the platform. Some services are marked as "Add-on" and may require additional activation or charges.
  • Uptime Commitment: We strive to maintain 24/7 platform availability but do not guarantee uninterrupted service. Scheduled maintenance, API downtime from banking partners, or force majeure events may temporarily affect service availability.
  • Commission Rates: Commission rates are indicative and may vary based on operator, circle, transaction volume, and banking partner policies. We reserve the right to modify commission structures with reasonable notice.
  • Plan Upgrades: Users may upgrade to higher plans by paying the differential amount. Downgrades are not permitted.

6. Wallet & Payments

  • Wallet Top-Up: Users must maintain sufficient wallet balance to process transactions. Wallet can be topped up via authorized payment channels.
  • Refundable Balance: Wallet balance is 100% refundable as per our Refund Policy. This does not include registration fees already consumed for plan activation.
  • Failed Transactions: In case of a failed transaction, the debited wallet amount will be automatically reversed within 24-72 hours. If the reversal does not occur, users must raise a support ticket.
  • Payouts: Wallet balance payouts are processed to the registered bank account. Processing time is typically 24-48 hours (business days).
  • Payment Gateway: All registration payments are processed through SabPaisa, a secure third-party payment gateway. We are not liable for failures or issues arising from the payment gateway's end.

7. Commissions & Earnings

  • Commissions are credited to your wallet in real-time or as per the settlement cycle of the respective banking partner.
  • Commission rates shown on the platform are combined rates (recharge commission + wallet commission) and may vary by operator, circle, and service type.
  • Surcharge profits (on services like PanCard, bill payments, money transfer) are earned by charging end-customers above the base service cost. The surcharge amount is at the retailer's discretion within platform-defined limits.
  • We reserve the right to adjust, modify, or discontinue commission structures at any time with prior notification.
  • Commission disputes must be raised within 7 days of the transaction date.

8. User Obligations

As a registered user of Paywish, you agree to:

  • Provide accurate and truthful information during registration and KYC
  • Use the platform only for legitimate business purposes
  • Comply with all applicable Indian laws, regulations, and guidelines (including RBI, UIDAI, and NPCI guidelines)
  • Not share your login credentials or allow unauthorized persons to access your account
  • Issue proper receipts and documentation to end-customers for all transactions
  • Maintain proper records of all transactions for audit and compliance purposes
  • Not engage in any activity that may harm the reputation of Paywish or its partners
  • Promptly update your account information if any details change

9. Prohibited Activities

The following activities are strictly prohibited and will result in immediate account suspension or termination:

  • Using the platform for money laundering, fraud, or any illegal activity
  • Processing transactions with stolen or fraudulent payment instruments
  • Creating multiple accounts to exploit promotions, cashbacks, or referral programs
  • Reverse engineering, decompiling, or attempting to extract source code from the platform
  • Using automated bots, scrapers, or tools to interact with the platform
  • Misrepresenting yourself as an employee or authorized representative of Paywish or Zetu Solutions
  • Charging end-customers excessive or exploitative surcharges
  • Sharing confidential API keys, credentials, or proprietary information with unauthorized third parties
  • Using the Whitelabel platform to offer services not authorized by Paywish

10. Intellectual Property

  • All trademarks, logos, brand names ("Paywish," "PayWish"), software, website design, and content are the exclusive property of Zetu Solutions (OPC) Private Limited.
  • Users are granted a non-exclusive, non-transferable, revocable license to use the platform solely for the purposes described in these terms.
  • Whitelabel users may use customized branding as per their plan terms, but the underlying technology and API infrastructure remain the property of the Company.
  • Unauthorized use, reproduction, or distribution of our intellectual property is strictly prohibited and may result in legal action.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • Our total liability for any claim arising from your use of the platform shall not exceed the amount paid by you for your business plan registration.
  • We are not responsible for transaction failures caused by banking partner downtime, telecom operator issues, or third-party API failures.
  • We are not liable for losses incurred due to unauthorized access resulting from your failure to protect your account credentials.
  • Force majeure events (natural disasters, government actions, pandemics, cyberattacks) shall relieve the Company of its obligations during the period of such events.

12. Termination

  • By User: You may terminate your account at any time by contacting our support team. Remaining wallet balance will be refunded as per our Refund Policy.
  • By Company: We reserve the right to suspend or terminate your account without prior notice if you violate any of these terms, engage in prohibited activities, or fail to complete KYC verification within the stipulated time.
  • Effect of Termination: Upon termination, your access to the platform will be revoked. Any pending commissions will be settled, and refundable wallet balance will be processed within 7-15 business days.

13. Dispute Resolution

  • Any dispute arising from these terms or your use of the platform shall first be attempted to be resolved through amicable negotiation between the parties.
  • If the dispute cannot be resolved through negotiation within 30 days, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
  • The arbitration shall be conducted by a sole arbitrator appointed by the Company, and the seat of arbitration shall be Kolkata, West Bengal, India.
  • The language of arbitration shall be English.

14. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.

15. Amendments

We reserve the right to modify, update, or amend these Terms and Conditions at any time. Changes will be effective immediately upon posting to the website. Continued use of the platform after any changes constitutes your acceptance of the revised terms. We will make reasonable efforts to notify users of material changes via email or platform notifications.
